Terms of Use #

I. Introduction #

  • Nature Inc. (hereinafter, “Nature”) thanks you for choosing the products and services provided by us (hereinafter, respectively “Our Product” and “Our Service”).
  • These terms and conditions of use (hereinafter, “Terms of Use”) specify the terms and conditions for the use of Our Product and Our Service. Please read the following carefully.
  • Customers who use Our Product and/or Our Service (hereinafter, “User”) assent to the Terms of Use. User shall be deemed assented to Terms of Use by using Our Service. If you do not assent to Terms of Use, you cannot use Our Product or Our Service. You may find the instructions and/or notes for the use of Our Service in individual terms and conditions of use, “Help,” and various guidelines. Please also read said instructions and notes, as they are part of this Terms of Use and incorporated herein.

II. Use of Our Service #

  • User may only use Our Product and/or Our Service when the applicable laws and regulations (including the laws and regulations relevant to exporting and reexporting) permit the use. User must comply with all the local laws and regulations where you reside.
  • In the event that User does not comply with Terms of Use or any other Nature’s policy, or Nature investigates User’s activity that we suspect as abuse, we may suspend or completely stop providing Our Service to said User.
  • Part of Our Service is rendered by using the services provided by external sources. Although Nature will make our best effort to continuously provide the whole contents of Our Service, we may suspend Our Service, in part or as a whole, in connection with the change or cancellation of an external service. Nature assumes no responsibility whatsoever for any loss and/or damages that may occur due to the suspension or cancellation of Our Service pursuant to this Article.
  • Nature may send to User a service notification, administrative message, and other relevant information in relation to the use of Our Service. User may choose to opt in or out to receive said notices and information.
  • Part of Our Service may be used on mobile devices. Do not use Our Service under any circumstances where you may be distracted and not be able to follow traffic and safety laws.

III. User Account #

  • User will need to create User Account to use Our Product and Our Service. When you create a User Account, you will register your e-mail address (hereinafter, “Registered E-mail Address”). User Account set-up will be completed by registering your e-mail address to the App used for Our Service or on Our website.
  • We may send an e-mail to Registered E-mail Address in relation to Our Product and/or Our Service. Please make sure to register the e-mail address you regularly use.
  • To enhance your account protection, we recommend that you individually manage your e-mail address and authentication information to log in to your User Account and do not disclose or leak your authentication information to others.
  • Any activities conducted through your User Account shall be considered as your activities.
  • In the event that you encounter a situation where your account information has been, or may be, leaked to or used by a third party, please immediately contact Nature. We will suspend Our Service to the applicable User Account as soon as we verify your identification. Provided, however, that Nature assumes no responsibility whatsoever for any loss and/or damages that may occur due to the insufficient management over user account information, errors during the use, and/or third party use.

IV. Acquisition of Information and Authority #

  • Nature may collect or obtain the following information and authority from User in relation to your use of Our Service. In the event that we collect Personal Information (as defined in our Privacy Policy separately executed), we collect said information only from what User has voluntarily offered. Personal Information that User voluntarily offered to Our partner(s) (including Our business partners, information sources, advertisers, advertisement distributors) and Nature legally collect from said partner(s) will also be treated in the same manner we treat Personal Information that User voluntarily offered to us.

    • Information to be collected through the use of Our Service
      • Device related information (equipment information, device ID, etc.)
      • Information on activity history (user’s actions, setting, choice, input, date of use, duration of use, location, etc.)
      • Information and rights of access and control on Our Product and its associated devices
        • Basic information, including model and/or software version of Our Product, individual device identification information, and the rights of access and control
        • Sensor information that will be automatically collected by Our Product
        • Basic information, including type of associated devices and operation protocols, and the rights of access and control
        • Information relevant to status and electricity that can be collected through associated devices

V. User Data Handling #

  • User shall hold the entire rights to the information posted by yourself on Our Service as well as a variety of information, data and authority acquired by us during your use of Our Service as specified in Article 4 hereof (hereinafter, collectively “User Data”).
  • Nature shall appropriately protect and carefully handle User’s Personal Information and privacy that may be contained in User Data in accordance with our Privacy Policy. For more information about the details of our privacy protection policy, please refer to our Privacy Policy. You will be considered to have agreed to our Privacy Policy upon your agreement to Terms of Use.
  • User will be considered to have granted Nature a right to use of User Data (except Personal Information protected as specified in our Privacy Policy) required to render and support Our Service upon your agreement to Terms of Use.
  • User Data will be used solely for the following purposes:
    • The purposes of use specified in our Privacy Policy
    • To analyze usage status and collect statistical data to improve Our Service
    • To update Our Service
    • To offer features or support to enhance the convenience of Our Service
    • To display the information optimized for each User on Our Service
    • To use for our product development (including tester invitation for new products and/or features)
    • To render our services for business such as market analysis and/or marketing support
    • For the purposes associated with the aforementioned purposes of use
  • Part of Our Service is rendered by using the services provided by external sources. For more information about the details of personal information protection by said external sources, please refer to the privacy policy that each external source provides.

VI. Sharing User Data with Third Parties #

  • Nature may provide User Data to a third party to the extent stipulated in our Privacy Policy.
  • Nature may provide User Data that contains the rights of access and control thereof to our business partners only when User individually consent thereto.

VII. User’s Responsibilities #

  • For the use of Our Product and Our Service, User needs to access to the Internet. User will prepare, install and operate the equipment, software and communication means required for the access at your own cost and responsibility. Nature assumes no responsibility whatsoever for User’s access environment or your preparation or operation thereof.
  • User shall maintain Registered E-mail Address while you use Our Service to properly receive e-mails from Nature, and modify the Registered E-mail Address if you encounter the situation where you are unavailable to receive e-mail regardless of the reason. Nature assumes no responsibility whatsoever for any loss and/or damages incurred by User that may occur due to missed e-mail communications from Nature, unless said loss and/or damages occur by a reason attributable to Nature.
  • In the event that User violates the rights of others, or a person claims that User has caused loss or damages to the person, through the use of Our Product and/or Our Service, said User shall settle the dispute at your own cost and responsibility, and Nature assumes no responsibility whatsoever for said dispute unless said dispute has a ground attributable to Nature.
  • User shall hold harmless, indemnify, and defend Nature and our affiliated companies and licensors as well as employees, executives, directors and representatives of Nature and our affiliated companies and licensors from any claims, damages, responsibility and liability, costs and expenses (including reasonable attorney fees) that may occur in relation to said dispute specified in the preceding paragraph.

VIII. Methods of Notices #

  • Nature will notify User in relation to Our Service by the methods that we deem appropriate, including posting on Our Service and/or Nature’s website (the website managed by Nature with the domain name of “nature.global” and its subdomain, or other domain name or contents we choose hereafter regardless of the reason) and sending e-mail to Registered E-mail Address.
  • In the event that an e-mail notification sent from Nature to Registered E-mail Address is returned as undeliverable for any reason that is not attributable to Nature, we will deem that we have notified said User by said undeliverable e-mail notification and may cancel the delivery to said undeliverable Registered E-mail Address. Nature assumes no responsibility whatsoever for any loss and/or damages incurred by User that may be caused by said undeliverable e-mail and delivery cancellation.

IX. Prohibitions #

  • User may not conduct any act that falls or may fall into the following categories regardless of by intention or negligence, or form of action. In the event that Nature reasonably deems that User’s act falls or may fall into the following prohibited conducts, we may completely stop providing Our Service to the applicable User. Nature may claim to said User any loss, damages, liabilities, costs and/or expenses (including reasonable attorney fees) that have occurred by said User’s conduct.
    • Any conduct that violates this Terms of Use
    • Any conduct that violates a third party’s right.
    • Any conduct that violates a privacy right.
    • Fraud.
    • Any conduct that sets up or solicits and/or operates a pyramid scheme.
    • Any conduct that is consisted of unauthorized access or operations to Nature’s computer or a third party’s computer.
    • Any conduct that causes emotional and/or financial damages to a third party, including nuisances, harassments, defamation.
    • Any conduct related to crime and/or violating laws and regulations.
    • Any conduct that obstructs and interrupts Our Service.
    • Any conduct that attempts to access to Our Service with a procedure and/or interface that is not provided by Nature.
    • Any conduct to access to Our Service and/or our system in an unusual way that is outside the range of regular use.
    • Any conduct to fraudulently obtain information relevant to Our Service beyond the range of regular use.
    • Any conduct to impose an unreasonable or disproportionately large load on our network and/or system.
    • Any unauthorized access, cracking, or other equivalent actions to Our Service.
    • Any other conduct to unjustly use Our Product and/or Our Service. Any conduct that promotes and/or patronages Anti-Social Forces, etc. through the use of Our Product and/or Our Service.
    • Any conduct deemed as socially inappropriate.
    • Diversion, sale, resale, transfer of User Account without Nature’s consent.
    • Any conduct that Nature reasonably deems inappropriate.

X. Restrictions on and Removal of User Accounts #

  • Nature may restrict or remove User Account and refuse the applicable User’s future use of Our Service when we reasonably deem that User falls or may fall into the following categories. Nature assumes no responsibility whatsoever for any loss and/or damages incurred by User or a third party that may be caused by Nature’s account restriction or removal.
    • When false information was entered during the account registration.
    • When User does not modify registration information after a change in registration information has occurred.
    • When User conducts the prohibited conducts.
    • When Nature reasonably deems that User falls into, or cooperates or relates to, Anti-Social Forces (which includes an organized crime group, member of organized crime group, affiliated company or organization of an organized crime group and other equivalent members or organizations) by funding or other conducts.
    • When Nature reasonably deems that User’s conduct is inappropriate.

XI. Withdrawal #

  • User may delete their User Account by notifying Nature thereof.

XII. Suspension of Our Service #

  • Our Service may be suspended due to the following circumstances. In spite of our best effort for a quick restoration, it may take long to restore. Natures assumes no responsibility whatsoever for any loss and/or damages incurred by User and/or a third party that may occur due to the suspension of Our Service.
    • When there are problems in Nature’s equipment or systems, or there is a need for maintenances, inspections, or repairs to our equipment or systems.
    • When Our Service is obstructed due to a fire or power outage, etc.
    • When Our Service is obstructed due to a natural disaster, including an earthquake, eruption, flood, tsunami, typhoon, heavy snowfall.
    • When Our Service is obstructed due to a war, disturbance, riot, terrorism, strike, administrative action, and other cause that is not attributable to Nature.
    • When Nature reasonably deems that temporary suspension of Our Service is required for operational or technological reasons.

XIII. Change and Termination of Our Service #

  • Nature may change (including add/delete functions and/or features) Our Service in part or as a whole time to time. Further, Nature may suspend or terminate Our Service in part or as a whole.
  • In the event that Nature suspends or terminates Our Service in part or as a whole, we will notify User seven days prior by the methods set forth in Article 8 hereof, except when a late notice is sent for a compelling reason. When there is a compelling reason for inability to give a prior notice, Nature will promptly give a late notice.
  • Nature assumes no responsibilities whatsoever for any loss and/or damages that may be caused by the measures taken pursuant to this Article, unless the loss and/or damages are caused by reasons attributable to Nature.

XIV. Intellectual Property and Other Proprietorship #

  • All the contents of Our Service and/or Our Product (including, but not limited to, designs, texts, software, configurations, graphics, and other files) belong to Nature. User may not reproduce, copy, duplicate, transfer, extract, process, modify, transmit or otherwise secondarily use Our Service, or lend, sale, redistribute, publicly transmit or sublicense to a third party for their use.
  • “Nature”, “Nature Remo”, and “Nature Smart Electricity” are a registered trademark or subject of pending trademark application, which may not, in part or as a whole, be copied, imitated, or used without prior written consent of Nature.
  • Nature may hold patents, patent applications, trademarks, copyrights, and other intellectual property rights related to Our Product and/or Our Service. Providing Our Service to User will not be deemed that Nature grants a license of our intellectual property to User, unless we specifically grant a license in Terms of Use and/or an individual agreement. Nature reserves all the rights that are not specifically given or transferred to User in this Terms of Use and/or individual agreements.
  • Pursuant to this Terms of Use, no property rights and authorities or proprietary rights may be transferred to User.
  • In the event that User gives comments, proposals and/or suggestions (hereinafter, “Feedbacks”), User globally authorizes Nature, free of charge, irrevocably and indefinitely, to use or include any Feedbacks related to Our Service.
  • User may retain your intellectual property rights only in your creation independently developed using Our Service within the scope of Terms of Use.

XV. Warranties and Disclaimer #

  • Nature will exert our best effort to make Our Product and Our Service useful to all of Users; however, Nature does not guarantee specific performance of Our Product or Our Service, including a specific feature of Our Product or Our Service, reliability thereof, usability thereof, or capability to meet User’s needs.
  • Nature assumes no responsibility whatsoever for any loss and/or damages of User that may occur through the use of Our Product or Our Service with a hardware or software that is not manufactured by Nature.
  • Nature assumes no liability whatsoever for any loss and/or damages of User that may occur related to Our Product or Our Service unless the losses and/or damages are caused by reasons attributable to Nature. In the event that Nature is liable based on the applicable laws or other grounds, our liability shall be limited to the amount that User paid as a consideration of Our Product that is related to the cause of loss and/or damages.

XVI. Commercial Use of Our Product and Service #

  • Business operators may not use Our Product or Our Service for commercial purposes without an individual agreement with Nature.
  • In the event that Nature and a business operator have individually agreed and the business operator uses Our Product and/or Our Service, said individual agreement may be applied to said commercial use.
  • In the event that a business operator uses Our Product and/or Our Service for the business, all the persons related to the agreed scope of business, including individual employees of said business operator, will be deemed that they agree to this Terms of Use.
  • Nature assumes no responsibility whatsoever for any loss and/or damages that may occur through the commercial use of Our Product or Our Service unless said use is authorized by Terms of Use, an individual agreement and/or other agreement with Nature.

XVII. Confidentiality #

  • For the purpose of this Terms of Use, “Confidential Information” includes any information relating to Nature’s technologies, business, operation, finance or organization provided or disclosed by Nature to a User in written, verbally or by recording medium, or such information that User may have acquired from Nature, in connection with Our Products or Our Service. Provided, however, that Confidential Information shall exclude the information which (1) is already publicly known or known to the User prior to the disclosure or acquisition, (2) becomes publicly known by publication or other methods through no wrongful act of the User after Nature’s provision or disclosure or User’s acquisition, (3) is rightfully received from a third party that has authority to provide or disclosure without confidential restriction, (4) is independently developed without using the Confidential Information, or (5) is confirmed by Nature in written that you are not required to keep confidentiality.
  • User shall use Confidential Information solely for the use of Our Service and agree not to provide, disclose or leak Confidential Information to a third party without Nature’s prior written consent.
  • User shall, whenever Nature requests, promptly return to Nature or destroy all of Confidential Information, documents and other recording medium that include Confidential Information and copies thereof in accordance with the instruction from Nature.

XVIII. Transfer of Rights and Obligations #

  • User may not assign, transfer, grant security interests in or otherwise dispose of their rights or obligations under Terms of Use without prior written consent of Nature.
  • In the event that Nature has assigned our business regarding Our Service to a third party (regardless of the form of assignment, such as transfer of business or company split), we may transfer and assign, as part of such assignment, our rights and obligations under Terms of Use as well as User’s account information and other customer information to such third party, and User hereby agrees to such transfer and assignment in advance.

XIX. Change of Terms of Use #

  • Nature may change, modify and/or amend Terms of Use by notifying User in advance with the methods specified in Article 8 or other appropriate methods of the announcement of the change of Terms of Use, details of the change, modification and/or amendment and effective date of the change, modification and/amendment. We appreciate you periodically checking notifications from Nature and Terms of Use.
  • Any change, modification and/or amendment shall become effective after 7 days have passed from the advance notice specified in the preceding paragraph.
  • Please stop using Our Service if you do not agree to any change, modification and/or amendment to this Terms of Use.
  • Your continuous use of our website and/or Our Service after change, modification and/or amendment to this Terms of Use shall be deemed that you agree to the changed Terms of Use.

XX. Jurisdictions, Governing Law and Prevailing Language #

  • The governing law of Terms of Use shall be the laws of Japan.
  • The exclusive jurisdiction over any dispute arising out of or relating to this Terms of Use shall be Tokyo District Court.
  • This Terms of Use are prepared in Japanese and English. In the event of any discrepancies or differences between the two versions, the Japanese version will prevail.
  • Nature may defer legal actions against a User who has violated Terms of Use; however, this shall not be deemed that we waive any of our rights, including, but not limited to, the right to pursue legal action in the future against such User.

XXI. Survival #

  • In the event that any part of this Terms of Use is found to be invalid, such invalidity shall not affect any other provisions of Terms of Use.
  • Articles of 7, 9, 14, 15, 18, 20 and this Article will survive after User stop or terminate the use of Our Product and Our Service.
